“It is the view of the directors that the going concern basis is an appropriate basis for the preparation of the financial statements, which show a surplus on the PTK pension as well as on the PGB life and pension plan. In making this assessment, the directors have looked out 12 months from the date of signing these financial statements. They have considered the company's current financial position and obligations over this period, most notably in respect of the funding of the PGB pension scheme that it holds. The company's ability to honour the scheduled contributions into this scheme depends upon it being able to liquidate its intercompany debtor with the parent company, Pioneer Europe NV ("PEE"), as required. For this reason, the directors have sought and received a letter of support from PEE in order to satisfy themselves that it is the parent company's intention to make these payments. In going on to assess the ability of the parent company to make these payments, the directors have also considered the financial performance and profit based forecasts of the ultimate parent company, Pioneer Corporation ("PEC"), which in turn has issued a letter of support to PEE and are satisfied that the ultimate parent has the ability to ensure that the debtor position is settled as it is called. However, noting that the letter issued by PEC is not coterminous with the letter PEE has in turn provided to the company, the directors have further inspected copies of a guarantee issued by PEC, which covers the period to March 2028 and makes a commitment that PEC will fund any deficit in the "PGB scheme" (to a satisfactory point), via contributions, in the event that the company is not able to obtain this funding from PEE. The directors do not anticipate that the expected change in ownership (see note 12) will have an impact on the going concern assessment. As such, the directors are comfortable that the company has the financial resources available to discharge its liabilities over the next 12 months from the date of signing the annual report, despite the current uncertain economic climate and have thus continued to adopt the going concern basis.”

It is the Directors expectation that the transaction and subsequent change in ownership, will be completed by the end of calendar year 2025, subject to regulatory approvals and other customary closing conditions.”
