“At last year end, the Group required a waiver from its lenders in respect of a forecast breach of its Debt Service covenant at 31 July 2025. Those waivers were obtained, and the Group has continued to operate within the terms of its financing arrangements. During the year, the Group's DSRL subsidiary repaid its loan, and following implementation of the University's transformation plan and agreement amendments with the remaining lenders, the Group considers there to be adequate headroom from the Debt Service covenant throughout the going concern period, and therefore a waiver for July 2026 is not required. In line with last year's position, all other covenants are forecast to be met with substantial headroom.”
