“The directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future for the period of at least 12 months from the date of approval of the financial statements. Thus, they continue to adopt the going concern basis of accounting in preparing the annual financial statements. The Company's ability to continue as a going concern is assessed in conjunction with the Group, as it is dependent on the ability of other Group companies to settle their intercompany balances. On 9 December 2025, the shareholders of the Company's ultimate parent approved the proposed merger between Anglo American plc and Teck Resource Limited. The directors have considered the Group's assessment of the potential impact of effecting the merger on the going concern scenarios modelled. In the downside scenarios modelled, the Company maintains sufficient liquidity throughout the period of assessment without the use of mitigating action.”
