• “On 31 December 2023, FRAME LA Brands, LLC entered into unit repurchase agreements with two members, pursuant to which FRAME LA Brands, LLC repurchased and redeemed 14,000 common units at the price per unit of $800.00 for an aggregate repurchase price of $11,200,000 (the "Repurchase Price"). FRAME LA Brands, LLC issued Promissory Notes (the "Notes") with the aggregate principal amount of $11,200,000 at the rate of 3.00% per annum. The Repurchase Price together with interest is to be paid in eight equal quarterly installments (each, an "Installment Payment), with the first Installment Payment payable on December 31, 2023, and the remaining Installment Payments payable on or before the last day of each successive calendar quarter thereafter (i.e. beginning March 31, 2024). The entire outstanding principal balance of the Notes, together with all unpaid accrued interest, shall be due and payable on December 31, 2025.”
