• “America remained challenging due to the impact of import taxes and our investment in a new location. Europe was hit by one-off reorganisation costs, this has lowered the overhead base, we expect better results in 2026.”
• “During the year ended 31 December 2025, the Company declared and paid a dividend of £1,871,093 to its shareholders. At the time the dividend was approved, the Company did not have sufficient distributable reserves, which resulted in the distribution being made unlawfully under the Companies Act 2006, as the payment created negative retained earnings. Subsequent to the year end, the Company received dividend income from a subsidiary undertaking, which increased the Company's distributable reserves. Following receipt of this income, the reserves position returned to a positive balance, thereby regularising the deficit that had caused the original distribution to be unlawful.”
• “A prior period restatement was identified relating to the classification of the company's investment in a group undertaking and the corresponding amount owed to group undertakings.
