“In auditing the financial statements, we have concluded that the Directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate. Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. After reviewing the Company's forecasts and projections, to 31 July 2026, the Directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. Accordingly, the financial statements have been prepared on a going concern basis. The Company has access to a £500k invoice finance facility with Barclays Bank. In addition a related entity, ANZUK Education Services Pty Ltd, has provided financial support in previous periods and will continue to do so for the foreseeable future.”

• “On 1 December 2025, the Company acquired 100% of the issued equity share capital of An Apple A Day Supply Limited, thereby obtaining control of the entity. The consideration transferred in respect of the acquisition comprised an initial cash payment of £372,000, payable on completion, deferred consideration totalling £160,000 payable in two instalments over the two years following completion, and a post-completion working capital adjustment determined in accordance with the sale and purchase agreement. As the acquisition is considered a non-adjusting event and, therefore, no adjustments have been made to the amounts recognised in the financial statements.”
