Material uncertainty over going concern
The Company's ability to continue as a going concern is dependent on the ongoing financial support of the Group. At 31 March 2025, the Group was in breach of one of three financial covenants, which resulted in the reclassification of the Group's £12.0m term loan as a current liability in the Group financial statements. On 11 February 2026, the Group entered into an amendment letter to its financing arrangements, pursuant to which the lenders agreed to waive the covenant breaches, subject to certain conditions, including the approval of the Group's consolidated financial statements for the year ended 31 March 2025. The directors have considered the continued engagement and support of the Group's lenders and shareholders. together with the Group's forecasts and sensitivity analysis, and the Company's access to Group funding. These matters indicate that a mater.al uncertainty exists which may cast significant doubt on the Company's ability to continue as a going concern. Notwithstanding this material uncertainty, the directors have concluded that the going concern basis of accounting remains appropriate for the Company.
