“The financial statements have been prepared on a going concern basis. The Directors consider this to be appropriate based on the following considerations: As an immediate holding company, the company is dependent on the trading results of its wider group and the going concern of this company is assessed in reference to the wider group. Management have prepared Group cashflow forecasts for a period of twelve months following the date of approval of the financial statements for the year ended 31 December 2025, The Group cashflow forecasts indicate that, taking into account reasonably possible downsides, the Group would have sufficient funds to meet liabilities as they fall due within the forecast period. The Group working capital requirements are managed centrally through cash reserves and an agreed Revolving Credit Facility. As at the 31 December 2025 the Group had the full headroom of £30m available for drawdown on the Revolving Credit Facility, maturing in July 2028. Following the transaction explained in note 24 the Group is also financed through loans from the new controlling party ('Asyad Group') and all external loans (excluding the Revolving Credit Facility) have been repaid. The Asyad Group has confirmed in writing that the funding provided will not be withdrawn such that the Group would not be able to repay its debts as they fall due. As with any Company placing reliance on other group entities for financial support, the Directors acknowledge that there can be no certainty that this support will continue although, at the date of approval of these financial statements, they have no reason to believe that it will not do so. Consequently, the Directors understand that the Company will have sufficient funds to continue to meet its liabilities as they fall due for twelve months following the date of approval of the financial statements and have prepared the financial statements on a going concern basis.”
