- “On 30 April 2025, a group reorganisation took place. This involved the transfer of Three Counties Financial Management Holdings Limited interest in 200,000 Ordinary £1 shares in its wholly-owned subsidiary, GWA Asset Management Limited to its parent company Greaves West & Ayre Limited, as full and final settlement of the outstanding loan due to the parent. An interim dividend of £1 was approved by the board of Greaves West & Ayre Limited, satisfied in specie by the transfer of the company's 1 Ordinary share in Three Counties Financial Management Holdings Limited to certain partners of the Greaves West & Ayre partnership. As Three Counties Limited is the wholly owned subsidiary of Three Counties Financial Management Holdings Limited, the reorganisation means that as of 30 April 2025 that Three Counties Financial Management Holdings Limited and Three Counties Limited are no longer part of the Greaves West & Ayre Limited group. A loss on disposal of £78,961 has been recognised on the reorganisation and the removal of the net assets of Three Counties Financial Management Holdings Limited and Three Counties Limited from the Greaves West & Ayre Group on 30 April 2025.”
