“As the General Partner, the Company has unlimited liability for the debts of Greenspruce LP (the "Partnership"; together with its subsidiaries the "Group") and as a result its status as a going concern is dependent upon that of the Partnership. The Company is responsible for the management of the Group and for assessing the Group's status as a going concern in the preparation of the Partnership's Financial Statements (which are not publicly available). The Company is reliant on the Partnership for its sole source of revenue. The Company is a member of the Invesco Ltd. group ("Invesco") and other members of the Invesco group perform certain operational and administrative functions on behalf of the Company. In assessing the Company's ability to continue as a going concern the Directors have therefore considered the ability of Invesco to continue as a going concern. Invesco is a global diversified asset management firm with $2,001.4 billion in assets under management on behalf of worldwide clients as at 30 June 2025 and global operating income of $214.2 million in Q2 2025. The Directors are satisfied that the Company will continue to meet its liabilities for at least the next 12 months from the date of approval of these Financial Statements, and that the Company will remain part of Invesco's operations for the same period.”
