“The financial statements have been prepared on a going concern basis which the Directors consider to be appropriate. The Directors have reviewed a cash flow forecast for a period of 12 months from the date of approval of these financial statements which indicates that, in both the base case and reasonably possible downsides, including a reduction in expected revenues (and resulting margin), the Company and the Group will have sufficient funds to meet its liabilities as they fall due for that period. Further, at 31 December 2024, the Group's consolidated balance sheet showed net current assets of $4,750k and net assets of $34,721k. The Group also recorded a cash balance of $13,017k at 31 December 2024. Taking the above into consideration, along with the Group's forecasted profitability, including cash flows from the existing contracts, and the Group's current cash balance and credit facility, the Directors are confident that the Company and the Group will have sufficient funds to continue to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements and therefore have prepared the financial statements on a going concern basis.”

• “SMPG, the principal operating subsidiary of the Group, is currently engaged in a dispute with the local tax authorities regarding the latter's decision on 2019 tax assessment for SMPG. SMPG has appealed the assessment to the tax court in Jordan, and as of the date of these financial statements, no final decision has been issued. The outcome of the case remains uncertain. In the worst-case scenario, SMPG may be required to pay the full disputed tax amount of $44k, along with late payment penalties capped at a maximum of $44k.”
