Having taken all matters fully into consideration the Directors believe these conditions indicate the existence of a material uncertainty that may cast significant doubt about the company's ability to continue as a going concern. However, on the basis of what the Directors do know and based on the best judgement the Directors continue to adopt the going concern assumption in preparing the annual financial statements. - “During the financial year to September 2025 the Hovis Group was involved in a Group wide sale transaction. On 15th August 2024 it was announced by Associated British Foods (ABF) that they had reached agreement to acquire 100% of the Hovis Group Ltd from its current owners. The proposed transaction was then subject to an extensive regulator review by the Competition and Markets Authority (CMA). The result of the CMAs review was announced on June 9th 2026 and was cleared unconditionally. At the present time the parties (Hovis and ABF) are working towards completion of this transaction.”
