A further £5,000,000 of consideration was deferred until 31 July 2026, however £2,184,000 of this amount is contingent upon the buyer successfully negotiating the settlement of a legacy liability with a third party. As part of the sale agreement, the Company formally discharged its loan receivable from Energy Works Hull, and the Company's borrowings were discharged by its Shareholders.”
