“In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate. Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group and parent company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.”

- “After the year end, a corporate reorganisation took place within the group's shareholding structure. The directors consider this to be a non-adjusting event with no impact on the company's assets, liabilities, or results at 31 December 2024.”
- “On 29 October 2024 the Group disposed of 60 per cent of its shareholding in Envo Solutions Ltd, reducing its interest from full ownership to 40 per cent. As a result, Envo Solutions Ltd ceased to be a subsidiary and has been accounted for as an associate from that date in accordance with FRS 102 Section 14 Investments in Associates.”
- “Subsequent to the year end, in early 2025 the Group completed an internal corporate restructuring designed to simplify its ownership structure and to align the trading companies more closely with their respective shareholder groups. As part of this reorganisation, Joseph Giles Ltd ceased to be a direct subsidiary of Leafe Investments Ltd and became owned directly by its directors and existing shareholders. A new intermediate holding company, Leafe JGJ Investments Company Ltd, was incorporated and inserted above Leafe Investments Ltd, and a separate holding structure was established for the Envo Solutions Ltd business. All transactions were undertaken on a share-for-share basis and there was no change in the ultimate ownership or control of the Group's activities. The restructuring occurred after the balance-sheet date and therefore represents a non-adjusting event as defined in FRS 102 Section 32 - Events after the End of the Reporting Period. Consequently, the consolidated statement of financial position as at 31 December 2024 and the results for the year then ended remain unaffected. The directors consider that the restructure will have no impact on the Group's net assets or overall results in future periods other than to simplify the reporting structure and align shareholdings across the operating entities.”
