“The directors have considered financial forecasts for the 20-month period through to July 2027 when assessing whether the going concern basis is appropriate. The company made a loss of £93,302 in 2025 (2024: loss of £64,719) and at 31 July 2025 had net current liabilities of £553,981, (2024: £360,354) and net debt of £1,757,880 (2024: £1,664,578). Subsequent to the year-end, at 25 November 2025 the company held net debt of £1,757,880 which comprises a loan with its parent entity, UOL Investments Limited, for which no covenants are attached and repayments are scheduled over a period of 15 years commencing in 2023. The performance in the year reflects the expected returns and expenditure linked to the investment and loan in place. The company has forecast its financial performance through the going concern period and forecasts profits of £53,453 in 2026 and £61,228 in 2027, representing loan interest payable and a distribution from Freemen's Common Village LLP. This is based on the assumption that the operation of Freemen's Common Student Village continues as forecast. The site is now operational and occupancy is close to 100%, evidencing that demand is high. The University of Leicester has provided confirmation to the directors that it will provide financial support as required should the company require this to meet its external liabilities through the going concern period. The directors have confirmed the University is capable of providing this financial support and, on this basis, believe it remains appropriate to prepare the accounts on a going concern basis.”
