“Included within net liabilities of the group is a term loan with National Bank of Canada ("NBC") with an outstanding balance of $19,892,540 as at the reporting date. During 2025, the Group was in breach of the Consolidated Total Debt / Consolidated Adjusted EBITDA financial covenant for Q2 and Q3 for which the Group has obtained waivers. Furthermore, under the original terms of the facility, the loan was due to mature on 12 August 2026. Subsequent to the year end, and prior to the approval of these consolidated financial statements, the Group agreed an amendment to the NBC facility (the "Amended Facility Agreement"). The Directors continue to adopt the going concern basis of accounting in preparing these consolidated financial statements.”
