“The Group is reporting a loss before tax of £0.5m (2024: £0.3m loss) and consolidated net assets total £0.2m at 30 April 2025 (2024: £0.9m). Group EBITDA increased from £1.2m in the year ended 30 April 2024 to £1.7m in the year to 30 April 2025. ... During the year, breaches of financial covenants on the parent Company's debt facilities arose, and breaches were continuing at the reporting date. This event made the entirety of the loan balances theoretically repayable on demand (£6.6m in total) in accordance with the terms and conditions. The debt facilities have therefore been classified as Loans due within one year at the reporting date. As a result, the Group has net current liabilities totalling £7.0m at 30 April 2025 (2024: £0.3m). Subsequent to the year end, the lenders waived any rights arising from the specified defaults and the loan agreements were amended. Financial covenants have been complied with in the period subsequent to the amended agreements being made. In May 2025, a subscription agreement was made with an additional investor in relation to B Preference and B Ordinary shares totalling £1m. The Directors have assessed whether the Group has adequate funding to settle its liabilities as they fall due over the forthcoming period. Management has prepared a detailed forecast covering the next 12 months. This forecast shows that the Group is expecting to generate positive cash flows over this period. Consequently, the consolidation financial statements have been prepared on a going concern basis.”
