“The Directors believe that preparing the financial statements on a going concern basis is appropriate due to the continued financial support of the ultimate parent company Genel Energy plc. The Company is dependent on financial support from Genel Energy plc as it is not currently generating funds of its own and it is in a net liability position. In this respect, the confirmation has been obtained from Genel Energy plc that intends to support the Company for at least 12 months following the signing of the annual report for the year ended 31 December 2024. The Directors have assessed that the Genel Energy plc group's (the "Group") forecasted liquidity provides adequate headroom over the forecast expenditure, ability to service the interest and comply with the bond covenants.”

Significant events

• “A Settlement, Relinquishment, and Termination Agreement ('RTA') between the Kurdistan Regional Government of Iraq ('KRG'), Genel Energy Sarta Ltd. and Chevron Iraq (Sarta) Ltd. (together 'Contractors') was signed on 20 April 2025. As per the agreement, the KRG released the Contractors from all liabilities owed to the KRG and the Contractors released the KRG from all liabilities owed to the Contractors. This has provided additional evidence regarding the collectability and settlement of the balances existing as at reporting date therefore identified as an adjusting event under IAS 10 and all relevant balances have been adjusted in the relevant notes.”
