“Notwithstanding net liabilities and net current liabilities of £1.8 million as at 31 December 2024, and a £112,000 loss for the year then ended, the financial statements have been prepared on a going concern basis which the directors consider to be appropriate for the following reasons. The ultimate parent company, Northern & Shell Plc, has indicated its intention to continue to make available such funds as are needed by the company, and that it does not intend to seek repayment of the amounts due at the balance sheet date, until at least 12 months from the date of approval of these financial statements.”

• “The company was actively engaged in bidding for the 4th UK National Lottery licence, which commenced in February 2024. The award decision was made by the Gambling Commission in March 2022 and unfortunately, after what they describe as a 'fair, open and robust competition', the Northern & Shell group's bid was not selected to be the 'Preferred Applicant'. Having reviewed the competition decision, Northern & Shell legally challenged the fairness and integrity of the bid process on a number of grounds and, during the year, extended the action to encompass a claim alleging unlawful modifications to the lottery contract upon which the applicants had bid and on which the group was effectively denied the opportunity to re-tender. In June 2024, the High Court ruled that a full trial would run for an eight week period from October 2025.”
