Each % is (latest − prior) ÷ |prior| for the line item as filed. The comparison is only shown when the latest and prior accounts cover broadly equal-length periods — short or long stubs (typical around incorporation or a year-end change) are suppressed rather than misrepresented. Lines a company doesn't report are omitted. About these numbers

- Going concern
- Affirmed
“The Directors have considered both forecast performance and realistic downside scenarios. They conclude that while material uncertainties exist-specifically relating to the Company's limited liquidity headroom, reliance on successful trading, and the absence of legally binding funding commitments the Company remains a going concern, on the basis that the Directors expect that mitigating actions and funding solutions will be implemented if required. Accordingly, these financial statements have been prepared on a going concern basis.”
Significant events
- “Turnover increased to £7,260,175 (2023: £6,294,002), driven primarily by strong events performance and increased food and beverage sales with a new leadership team in place in Front of House and the Kitchen supported by a targeted marketing campaign. This increased performance in food and beverage and events operations paved the way for a transformational deal to outsource these elements to a values aligned partner.”
- “Membership income declined to £1,511,545 (2023: £1,844,550) due to technical communication issues and insufficient targeted marketing.”
- “Capital investment during the year totalled £95,638 (2023: £554,955), principally relating to plant and office equipment and there was £717,315 of shares issued (2023: £191,383) by the conversion of a convertible loan note.”
- “On 1 January 2025, £433,502 of convertible loan notes and their associated unpaid interest were refinanced. This resulted in a loan of £591,731 being taken out, with interest charged at 8% per annum. The loan is repayable in quarterly installments across 2025 and 2026, with the final repayment date scheduled for 31 December 2026.”
- “On 7 February 2026 the Convertible Loan Agreement of £332,685 owed to The Conduit Holdco Ltd. was ammended with a repayment date of 31st March 2027 (or such later date as the parties may agree).”
