  The Company incurred a net loss of £(6.6m) including £0.9m of other operating costs associated with the terminated share exchange agreement with Blackboxstocks for the year ended 31 March 2025 (2024: operating loss of £6.0m including £2.3m other operating costs associated with the terminated share exchange agreement with Blackboxstocks), as of that date, the Company's accumulated losses of £22.0m (2024: accumulated losses of £15.4m) has resulted in deficit of shareholders' funds by £16.0m (2024: deficit of £10.6m) and current liabilities exceeded its current assets by approximately £14.2m (2024: £10.4m). These events or conditions, along with other matters, indicate that a material uncertainty exists that may cast significant doubt on the Company's ability to continue as a going concern.

• “On 12 May 2025, the Company along with Evtec Group Limited and JVM Castings Limited signed a non-binding letter of intent to complete a reverse merger transaction, with a Canadian Corporation. Should the transaction fail, Target Companies reimburse legal costs.”
• “On 25 June 2025 the Company repaid its asset backed lending facility with HUK 125 Limited. Funds were available from new finance lease facilities from SAF Limited and Reward Finance Group Limited.”
• “On 19 August 2025 agreement was reached with the customer to advance a further £4,000,000 of customer loan. The loans are now repayable on 1 September 2026.”
