“The Directors of the Company have prepared its going concern assessment for the period to 31 December 2026. The Company has access to a term facility of £2,000,000 until 1 June 2027 ensuring that the Company has sufficient funding to cover its anticipated funding working capital requirements to 31 December 2026. As part of their review the Directors have performed analysis to ensure the term facility would be sufficient, by preparing a cashflow forecast through to 31 December 2026, and considering a severe but plausible downside scenario. The Directors are satisfied that the lenders have sufficient funds to provide the required funding to the Company.”

• “On 24 February 2025, the immediate parent holding company Grosvenor Hill Ventures Limited sold 51% of its shareholding to SwiftConnect Inc. As part of this transaction, the loans repayable by the Company to Grosvenor Hill Ventures Limited (£3,475k as at 24 February 2025) were converted into 19,204 ordinary shares. Following this transaction, SwiftConnect Inc. became the immediate parent holding company.”
