“In assessing the appropriateness of the going concern basis of preparation, the Directors have taken into account the key risks of the business as well as the Company's business model and availability of cash resources. The Directors have assessed that in both base case and reasonably plausible downside scenarios, the Company will have sufficient funds to meet its liabilities as they fall due for at least 12 months from the date of approval of the financial statements. The financial statements therefore have been prepared on a going concern basis.”

• “On 25 January 2026, APG's 90% shareholding in Scape Student Leeds Topco (Jersey) Limited was transferred to Scape Living Plc ("SLP"), a company incorporated in Great Britain with registered address 19th Floor, 51 Lime Street, London, EC3M 7DQ. In consideration for the transfers, Scape Living Plc issued shares to APG. APG remains the ultimate controlling party of the Company.”
