“The directors have prepared base case financial forecasts for the period ending March 2027. The future contract losses impact resulting from delays caused by the failure of a major subcontractor in 2023, the impact of US policy on the global economy and trade tariffs, as well as ongoing conflicts in the middle east and Ukraine have been considered as part of the Company's adoption of the going concern basis. On 16 February 2025, the parent company Envision Energy UK COE Ltd, increased the available facility from £10 million to £30 million. On 6 February 2025, the parent company Envision Energy UK COE Ltd increased its capital contribution to the Company by subscribing for a total of 50,500,000 ordinary shares of £1 cach at par, comprising of 28,589,036 ordinary shares and a further 21,910,964 ordinary shares on the same date. The ultimate parent company, Envision Energy International Limited, confirmed in writing to provide support to the Company to enable them to pay debts as they fall due for at least twelve months following the signing of these financial statements.”
