“The Company remains assured of the financial support by DORIS Group SA, the ultimate parent company of the DORIS group. The directors have received confirmation that DORIS Group SA intends to provide sufficient funding to enable the Company to meet its obligations as they fall due for at least 12 months from the date of signing this report, subject to obtaining the necessary authorisations from DORIS Group competent body, if required. However, Doris Group SA has indicated that this confirmation does not constitute, and shall not be construed as, a guarantee, indemnity, covenant or legally binding undertaking. On this basis, the directors consider it appropriate to prepare the financial statements on a going concern basis.”

• “The decision to close ODE Renewables LLC was taken in light of very limited commercial prospects, following changes in the U.S. regulatory and policy environment affecting the renewable energy sector. Its registration as a foreign limited liability company in the State of Massachusetts was also cancelled, with effect from 31 December 2025.”
• “The evolution of the situation in the Middle East is being closely monitored by DORIS Engineering UK, with regard to any direct or indirect consequences that could affect its activities and the economic environment in which it operates, in particular in the event of cancellations or delays of certain studies related to oil and gas development projects. At this stage, only a delay in the award of certain studies relating to maintenance projects for platforms and gas facilities in Qatar, for which DORIS Engineering UK has submitted bids at the beginning of 2026, has been identified. Such delay may have a limited impact on the Company's level of activity in 2026.”
