“As stated in note 1 to the financial statements, the Group meets its working capital requirements through receipt of management fees. Furthermore, the board of directors has reviewed the operating and cash flow forecasts of the Group, together with the year-end cash position of £30,307,154 and two active main funds, one Impact fund and one SMA fund generating management fee inflows. Across the four active funds managed by the Group it is conservatively estimated that contracted income from management fee will equate to £23.4m in 2026. For 2027 we would expect this to increase significantly due to the launch of fund-raising activities for Fund V. It is conservatively estimated that this would generate circa £10m of management fees. The above does not consider any revenue associated with board fees or arrangement fees on the closing of deals. With regards to the latter the budget estimates a further €7-8m of arrangement fee income. The directors have a reasonable expectation that the Group will have adequate resources to continue in operational existence, being at least a period of twelve months from the date of signing the financial statements. This is further supported by the group making a normalised profit of £3.1m after excluding exceptional legal and professional costs associated with the sale of the minority interest in Atypical Partner Ltd 2025. The group has been compensated by the receipt of cash on the sale of the minority position which now shows a net asset position of £34,482,759 and a net current asset position of £30,219,367. For these reasons, the Directors considered it appropriate for the Group to be deemed a going concern and accordingly, the financial statements have been prepared on this basis.”
