“At the reporting date, the company had net liabilities of £14,937,055 (2023: £12,937,199) and made a loss for the year of £1,999,857 (2023: £2,958,479). The net current liability includes amounts due to the immediate parent undertaking of £1,162,977 (2023: £3,969,119). The company is reliant on the continued support of its intermediary parent undertaking. The directors have made an assessment of the company's going concern and the ability to continue as a going concern for at least a period of twelve months from the signing of these financial statements. The assessment is based on the company's forecast which has taken into account any key assumptions and liabilities due, including the amounts owed to group and relating undertakings of £5,981,133 (2023: £4,945,278). The directors note that the company have access to resources of its intermediary parent company, Noble JV S.a.r.l., and have received a letter of intent to support the company and not recall intercompany balances. Based on this assessment, the directors have concluded that with the letter of support confirming that no intercompany balances will be recalled, the company has sufficient cash to operate and meet its liabilities, for at least a period of 12 months from the date of signing of these financial statements. The intermediary parent company, Noble JV S.a.r.l., has the financial viability and commercial incentive to continue supporting its subsidiary, therefore based on the forecast prepared by the directors, the directors are confident that for the foreseeable future, being twelve months from the approval of these financial statements, the company would be able to meet any liabilities as they fall due. For this reason, the directors believe that it remains appropriate to prepare the accounts on a going concern basis.”
