“The financial statements have been prepared on a going concern basis. The directors have prepared cashflow forecasts for the 12 months from the date of signing which shows the Group and Company will have sufficient cash to meet their obligations as they fall due. The directors consider the most significant risk to the cashflows to be the power prices however this risk is mitigated through the receipt of government backed subsidies and the relative fixed nature of the overheads. The Group has an external loan agreement with Société Générale and AIB and the debt service requirements for the 12 months from the date of signing and covenants under this funding agreement have been considered in assessing the Group and Company's going concern. The Group has loans from its shareholders, CEI 8 UK Ltd and CEI Keane Limited which are due for repayment on 31 December 2040, with interest due quarterly. CEI 8 UK Ltd and CEI Keane Limited have provided letters of support which are not legally binding stating that they will not recall any interest within the 12 months from the date of signing unless the Group has the ability to pay. The Directors' have concluded that the Group is able to meet its obligations when they fall due for a period of at least 12 months after the date of this report. For this reason they continue to adopt the going concern basis for preparing the financial statements.”
